The Charity Commission has confirmed the following:

Virtual AGMs

The provisions of the Corporate Insolvency and Governance Act 2020 which allowed charitable companies and CIOs to hold virtual meetings came to an end on 30 March 2021 and cannot be extended. They have stated they will take the same flexible approach to holding virtual meetings for charitable companies and CIOs as for other types of charity.

Insolvency help for charitable companies and charitable incorporated organisations

They have amended their guidance to reflect the extension of the following provisions:

  • the additional temporary moratorium provisions for coronavirus are being extended until 30 September 2021
  • limiting termination clauses in supply contracts, to provide for continuity of supplies so companies and CIOs can carry on operating. The additional temporary exemption for small entity suppliers during coronavirus have been extended until 30 June 2021
  • temporary suspension of the use of statutory demands and the restriction on winding up petitions where a company or CIO cannot pay its bills due to the coronavirus emergency. These provisions have been extended until 30 June 2021
